Terms of Service

Please read these terms carefully before engaging in OEM/ODM manufacturing, sampling, or wholesale ordering with our factory.

1. Acceptance of Terms

These Terms of Service ("Terms") govern the business relationship between Liling Ruiying Ceramic Industry Co., Ltd. ("Factory", "we", "us", or "our") and the client ("Client", "Buyer", "you"). By requesting a quotation, authorizing prototyping, or placing a purchase order in the year 2026 and beyond, you agree to be bound by these Terms.

2. Strictly B2B Manufacturing

We are a professional OEM/ODM manufacturer specializing in ceramic mugs and tableware sets. Our operations are strictly Business-to-Business (B2B).

  • No Retail Sales: We do not sell individual items directly to consumers.
  • Minimum Order Quantities (MOQ): All orders are subject to MOQs dependent on the specific product, customization complexity, and production methods (e.g., reactive glaze, decal printing).

3. Prototyping and Orders

Custom manufacturing requires a rigorous approval process to ensure quality and compliance.

3.1 Sampling & Molds

Sample fees and mold charges apply to all custom OEM/ODM developments. These fees are generally refundable upon the placement of a mass production order that meets our specified volume threshold. Lead times for samples are typically 10-15 business days but may vary based on complexity.

3.2 Order Confirmation

Mass production will strictly follow the final physical sample approved by the Client. Any changes requested after sample approval and order confirmation may result in additional costs and extended lead times.

4. Pricing and Payment Terms

  • Quotations: Unless otherwise stated, all quotes are valid for 30 days. Prices are typically quoted on FOB Shenzhen or EXW Liling terms.
  • Standard Payment: A 30% non-refundable deposit via T/T is required to commence production. The remaining 70% balance must be paid before shipment or against the copy of the Bill of Lading (B/L), as agreed upon in the Proforma Invoice.
  • Currency & Taxes: All payments must be made in USD or RMB as specified. The Client is responsible for any import duties, customs fees, or local taxes in the destination country.

5. Ceramic Manufacturing Tolerances

Due to the nature of high-temperature kiln firing and ceramic craftsmanship, the Client acknowledges and accepts the following standard industry tolerances:

Reactive Glazes

Reactive glazes undergo natural chemical changes in the kiln. Slight variations in color, texture, and pattern from mug to mug are inherent to the process and are considered a mark of premium quality, not a defect.

Size & Capacity

A standard dimensional and volume tolerance of ±5% applies to all ceramic products due to natural shrinkage during the firing process.

6. Quality Standards & Certifications

We guarantee that all our ceramic products are 100% lead-free, cadmium-free, and comply with FDA, LFGB, and CA65 standards. If the Client requires specific third-party testing (e.g., SGS, ITS), the Factory will provide samples and support the process; however, testing fees are the responsibility of the Client unless otherwise negotiated.

7. Intellectual Property

Client IP: The Client retains all intellectual property rights to custom designs, logos, and artworks provided to the Factory. We will not use, sell, or display Client-specific OEM designs to third parties without prior written consent.

Factory IP: Proprietary glaze formulas, factory-developed shapes, and internal manufacturing processes remain the exclusive intellectual property of Liling Ruiying Ceramic Industry Co., Ltd.

8. Claims and Returns

Because all orders are custom manufactured for B2B wholesale, we do not accept returns for buyer's remorse or unsold inventory.

  • Any claims for defects, shortages, or damages must be submitted in writing with photographic evidence within 15 days of the container's arrival at the destination port.
  • Claims exceeding the standard 3% breakage allowance for international ceramic shipping will be reviewed. Approved claims will be compensated via credit toward future orders or replacement in the next shipment.

9. Limitation of Liability

In no event shall Liling Ruiying Ceramic Industry Co., Ltd. be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, arising from production delays, shipping delays (including those caused by customs or force majeure), or product use. Our maximum liability under any circumstance is limited to the total value of the specific purchase order in dispute.
